These Terms and Conditions (“Terms”) constitute a binding legal agreement between you (“the Patient”) and The Panday Group (“TPG”). By accessing pandaygroup.com, submitting a patient assessment, or engaging with our services in any capacity, you confirm that you have read, understood, and agree to be bound by these Terms and all incorporated documents. If you do not agree, do not use our services.

1. Nature of Services

The Panday Group is a private, elective hormone optimization and performance health clinic operating exclusively via telemedicine. All clinical services are voluntary, specialty in nature, and are not a substitute for primary care. Services include:

  • Clinical review and health assessment for program eligibility
  • Telemedicine consultation with a licensed healthcare practitioner
  • Prescription-based hormone optimization protocols including Testosterone Replacement Therapy (TRT)
  • Ancillary protocols as clinically appropriate (metabolic optimization, peptide programs)
  • Bloodwork requisitions, laboratory coordination, and results review
  • Ongoing monitoring, refill management, and clinical follow-up

All clinical decisions — including eligibility, protocol selection, dosing, and discontinuation — are made exclusively by our licensed healthcare practitioner in accordance with applicable college standards. No clinical decision is made by administrative or non-clinical staff.

2. Private, Elective, and Specialty Nature of This Clinic

The Panday Group operates as a private, elective specialty clinic. Our services are not covered by OHIP or any provincial health insurance plan. Enrollment is voluntary and is entered into freely by the patient. The obligations and policies set out in these Terms reflect the terms of that voluntary private arrangement.

As a private specialty clinic, we are not a primary care provider. Patients are encouraged to maintain a relationship with a family physician or primary care provider for general health matters outside the scope of our programs. Our services do not replace, and are not designed to replace, primary care.

3. Integrated Care Model and Pharmacy Fulfillment

The Panday Group operates under a fully integrated care and pharmacy-coordination model. This is a fundamental and disclosed feature of our clinic, not an optional service component. The fees associated with your treatment plan encompass the full scope of coordinated care, which includes:

  • Clinical file review and practitioner assessment
  • Bloodwork requisition and results analysis
  • Telemedicine consultation
  • Prescription issuance and documentation
  • Pharmacy coordination, order processing, and dispensing oversight
  • Shipping and medication delivery
  • Ongoing follow-up and refill management

Accordingly, all prescriptions issued by our healthcare practitioner are coordinated and fulfilled exclusively through our approved partnered pharmacy network. This policy is a non-negotiable and standard condition of care at this clinic and is fully disclosed prior to intake.

We do not issue standalone prescriptions for fulfillment at outside pharmacies, transfer prescriptions to patient-preferred pharmacies, or accommodate requests for prescription copies for external dispensing, regardless of circumstance or additional fee offered.

This policy exists because our integrated model requires direct, unbroken oversight of the full clinical and pharmaceutical chain — from assessment through dispensing — to ensure safety, consistency, and clinical accountability. A prescription issued under our model is inseparable from the care coordination that supports it.

Patients who prefer a standalone prescribing model, or who wish to use their own pharmacy, are encouraged to consult their family physician or an alternative clinic that operates outside of an integrated care framework. We are transparent about this from the outset and respect each patient’s right to seek care elsewhere.

4. Patient Health Record and Portability

Patients have the right at any time to request their laboratory bloodwork results. Upon written request, these will be provided. Additional clinical documentation may be released at the discretion of the treating practitioner where it is determined appropriate to support continuity of care.

The release of bloodwork results does not constitute the reissuance or transfer of a prescription. Prescription issuance is a separate clinical act that is inseparable from our integrated care model.

5. Eligibility Requirements

To access TPG’s programs, you must:

  • Be 18 years of age or older
  • Reside in Canada in a region where we accept patients
  • Not be under any active physician directive that contraindicates our protocols
  • Have the legal capacity to provide informed consent

Eligibility for any specific protocol is determined at the sole clinical discretion of our licensed healthcare practitioner. TPG reserves the right to decline, suspend, or discontinue services on clinical or professional grounds at any time.

6. Medical Disclaimer and Informed Consent

THE CONTENT ON THIS WEBSITE, INCLUDING EDUCATIONAL MATERIAL, PROGRAM DESCRIPTIONS, AND HEALTH-RELATED INFORMATION, IS PROVIDED FOR GENERAL INFORMATIONAL PURPOSES ONLY. IT DOES NOT CONSTITUTE MEDICAL ADVICE, CLINICAL DIAGNOSIS, OR A PRACTITIONER-PATIENT RELATIONSHIP.

A formal practitioner-patient relationship is established only upon: (a) submission and clinical review of your health assessment; (b) acceptance into a TPG program by our practitioner; and (c) initiation of your telemedicine consultation.

By proceeding, you acknowledge that:

  • Hormone optimization carries inherent clinical risks that will be discussed during your consultation; written informed consent is required prior to treatment
  • Individual outcomes vary and are not guaranteed
  • You are required to disclose all health history, medications, supplements, and lifestyle factors fully and accurately
  • Our services do not replace your primary care physician or emergency medical care

7. Telemedicine Consent

By engaging in any virtual consultation with TPG, you acknowledge and consent to the following, consistent with CPSO’s Policy on Telemedicine and CMA Guidelines:

  • The use of electronic communication technology for the delivery of your clinical care
  • The inherent limitations of telemedicine compared to in-person assessment
  • Your right to withdraw from telemedicine care at any time and to seek in-person care
  • Documentation of your consultation within your patient health record
  • The possibility of technical disruptions and our commitment to rescheduling in such circumstances

Initial telemedicine consent is captured at the time of patient intake through the assessment form at pandaygroup.com/performance.

8. Fees, Payment, and Billing

8.1 Clinical Review and Administrative Processing Fee — $100 CAD

Upon submission of your patient assessment form, a non-refundable Clinical Review and Administrative Processing Fee of $100 CAD is due. This fee covers the following services, which are rendered regardless of whether a prescription is ultimately issued:

  • Creation and onboarding of your patient file
  • Clinical review of your submitted health assessment by our licensed healthcare practitioner
  • Issuance of a bloodwork requisition where clinically indicated
  • Review of submitted or completed bloodwork results by our practitioner
  • Scheduling and coordination of your telemedicine consultation

All of the above services are performed prior to and independently of any prescribing decision. The fee is therefore non-refundable in all circumstances, including where a prescription is not issued following the clinical assessment.

8.2 Program Fees

Ongoing program fees are communicated at the time of prescription and include medication supply, administrative coordination, and shipping costs. All fees are in Canadian dollars (CAD) and are subject to change with reasonable notice.

8.3 Payment Terms

All payments are made exclusively via Interac e-Transfer. We do not accept credit cards, debit cards, cash, or third-party payment applications. Payment must be received and confirmed before any prescription is processed or medication dispensed.

8.4 Billing Disputes

Billing discrepancies must be raised in writing within 14 days of the transaction. After 14 days, all transactions are considered final.

9. Bloodwork and Monitoring Obligations

Participation in any TPG protocol requires ongoing compliance with our clinical monitoring schedule:

  • Bloodwork every three (3) months, or as directed by our practitioner
  • Attendance at all scheduled follow-up telemedicine consultations
  • Prompt reporting of new symptoms, adverse effects, or changes in health status

Failure to comply with monitoring requirements may result in suspension of your program in the interest of patient safety. TPG and its practitioners are not responsible for adverse outcomes arising from a patient’s failure to attend required monitoring.

10. Patient Conduct and Obligations

You agree to:

  • Provide accurate, complete, and current personal and health information at all times
  • Notify us immediately of any changes to health status, medications, or contact information
  • Engage respectfully with all TPG personnel
  • Comply with all prescribed protocols and monitoring requirements
  • Not misuse, redistribute, or resell any prescription medication

TPG reserves the right to terminate services without refund where a patient provides fraudulent information, engages in abusive conduct, breaches these Terms, or where continuation of care is, in the practitioner’s professional judgment, clinically inappropriate.

11. Continuity of Care

In the event TPG is unable to continue providing services — including clinic closure or practitioner departure — we will endeavour to provide reasonable advance notice (minimum 30 days where circumstances permit) and your laboratory bloodwork results to support your transition to another provider, along with such additional clinical documentation as the practitioner determines appropriate.

Patients may discontinue their program at any time. Upon written request following discontinuation, laboratory bloodwork results will be provided. Additional clinical documentation may be released at the practitioner's discretion where appropriate.

12. Practitioner Regulatory Standards

All clinical services at TPG are delivered by practitioners holding current licences with the applicable Ontario regulatory college — either the College of Physicians and Surgeons of Ontario (CPSO) or the College of Nurses of Ontario (CNO) — and practicing within their authorized scope. Practitioners are bound by:

  • The Regulated Health Professions Act, 1991
  • CPSO or CNO standards of practice, as applicable
  • CPSO policies on telemedicine and prescribing
  • Ontario Drug and Pharmacies Regulation Act (DPRA), as relevant to pharmacy coordination

Practitioner compensation is based exclusively on time rendered in patient care. Practitioner remuneration is not contingent on prescription volume, pharmacy revenue, or any financial arrangement with our pharmacy partners. There is complete financial separation between our practitioner compensation structure and our pharmacy network.

If you have concerns about the professional conduct of any practitioner, you have the right to file a complaint directly with the CPSO (cpso.on.ca) or CNO (cno.org).

13. Intellectual Property

All content on pandaygroup.com and within TPG program materials is the proprietary intellectual property of The Panday Group, protected under the Copyright Act, R.S.C. 1985, c. C-42. You may not reproduce, distribute, or commercially exploit any TPG content without express prior written consent.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE ONTARIO AND CANADIAN LAW, THE PANDAY GROUP AND ITS PRACTITIONERS, STAFF, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM USE OF OUR SERVICES OR WEBSITE.

Our total aggregate liability for any cause of action shall not exceed the total amount paid by that patient in the three (3) months preceding the event. Nothing herein limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under RHPA, PHIPA, or applicable Canadian law.

15. Indemnification

You agree to indemnify and hold harmless TPG, its practitioners, employees, and affiliates from any claims arising from: breach of these Terms; provision of false or incomplete health information; misuse of prescription medication; or violation of applicable law.

16. Governing Law and Jurisdiction

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Disputes shall be subject to the exclusive jurisdiction of the courts of Ontario sitting in the Region of York.

17. Dispute Resolution

Disputes shall first be subject to 30 days of good-faith written negotiation. If unresolved, the parties may pursue mediation before litigation. Nothing herein prevents either party from seeking urgent injunctive relief.

18. Entire Agreement and Amendments

These Terms, together with the Privacy Policy (Document 1) and Pharmacy & Medication Fulfillment Disclosure (Document 3), constitute the entire agreement between the parties. TPG may amend these Terms at any time; material amendments will be communicated to active patients with a minimum of 30 days’ notice. Continued use of services following the effective date of any amendment constitutes acceptance.
